VOLUNTARY ANNOUNCEMENT - POTENTIAL ACQUISITION

This announcement is made by HengTen Networks Group Limited (the ''Company'') on a voluntary basis.

The board of directors of the Company (the ''Board'') has noted the fluctuations in the price of the shares of the Company (the ''Shares''). The Company is in preliminary discussion regarding a potential acquisition (the ''Potential Acquisition''). If the Potential Acquisition materialises, it may constitute a Chapter 14 transaction of the Company under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ''Listing Rules'').

The Company will make further announcement(s) in connection with the Potential Acquisition as and when appropriate or required in accordance with the requirements of the Listing Rules. As the Potential Acquisition may or may not proceed, shareholders and potential investors of the Company are advised to exercise caution when dealing in the shares of the Company.
