CHANGE OF COMPANY SECRETARY,

AUTHORISED REPRESENTATIVE AND PROCESS AGENT

AND

RESIGNATION OF CHIEF FINANCIAL OFFICER

The board of directors (the "Board") of China Art Financial Holdings Limited (the "Company", together with its subsidiaries, the "Group") announces that Mr. Wong Hong Tak Hagan ("Mr. Wong") has resigned from his position as the Chief Financial Officer and Company Secretary of the Company and ceased to be an authorised representative of the Company (the "Authorised Representative") under the Rules Governing the Listing of Securities on the Stock Exchange of Hong Kong Limited (the "Stock Exchange") and an authorised representative of the Company for accepting service of process or notice on the Company's behalf in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) (the "Process Agent") due to other business commitments with effect from 13 April 2021.

Mr. Wong confirmed that he has no disagreement with the Board, and neither the Company nor Mr. Wong is aware of any matters that need to be brought to the attention of the shareholders of the Company and the Stock Exchange in relation to his resignation.

Ms. Li Yuen Shan ("Ms. Li") has been appointed as the Company Secretary, the Authorised Representative and the Process Agent of the Company with effect from 13 April 2021.

Ms. Li is a fellow member of the Association of Chartered Certified Accountants. She is also an associate of The Chartered Governance Institute (formerly known as The Institute of Chartered Secretaries and Administrators) and an associate of The Hong Kong Institute of Chartered Secretaries. Ms. Li is also the company secretary of Sanai Health Industry Group Company Limited, a company listed on the main board of the Stock Exchange (stock code: 1889).

The Board would like to take this opportunity to express its gratitude to Mr. Wong for his efforts and valuable contributions to the Group during his tenure of office and also welcome Ms. Li on her appointment.
