Item 5.03  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year.
On June 2, 2021, Biogen Inc. (the "Company") held its 2021 Annual Meeting of
Stockholders (the "Annual Meeting"). At the Annual Meeting, the Company's
stockholders approved and adopted a Certificate of Amendment (the "Certificate
of Amendment") of the Company's Amended and Restated Certificate of
Incorporation, as amended, to add a federal forum selection provision.
The Certificate of Amendment had previously been approved, subject to
stockholder approval, by the Company's Board of Directors.
A detailed discussion of the Certificate of Amendment is set forth in the
Company's definitive proxy statement on Schedule 14A filed with the U.S.
Securities and Exchange Commission on April 23, 2021 (the "Proxy Statement") and
a copy thereof is filed as Exhibit 3.1 hereto and is incorporated herein by
reference.


Item 5.07 Submission of Matters to a Vote of Security Holders. On June 2, 2021, the Company held its Annual Meeting. The final voting results for the Annual Meeting are as follows:
