Total Voting Rights

In accordance with the FSA's Disclosure and Transparency Rules, Beazley plc confirms that, as at the close of business on 31 December 2011, its issued ordinary share capital consisted of 535,876,333 shares of 5p each, of which 17,465,312 shares were held in Treasury.

Accordingly, the total number of voting rights in the Company as at 31 December 2011 was 518,411,021.

This figure may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the rules.
