Departure of Directors or Principle Officers; Election of Directors; Appointment of Principal Officers.
As previously announced, on May 7, 2021, Dr. Hassell H. McClellan retired from the Board of Directors of Barnes Group Inc. (the 'Company').
Submission of Matters to a Vote of Security Holders.
The Company held its 2021 Annual Meeting of Stockholders on May 7, 2021.
The Company's stockholders considered three proposals, each of which is described in more detail in the Company's definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on March 26, 2021. The final voting results for each matter submitted to a vote of stockholders at the Annual Meeting were as follows:
