MATERIAL FACT
São Paulo, January 10th, 2018 - Pine (BM&FBovespa: PINE4), registered with the corporate tax payer number CNPJ / MF 62.144.175/0001-20, in one more step towards the best corporate governance practices, communicates to its shareholders and the market in general the following changes:
At the Extraordinary Shareholders' Meeting held on January 05th, 2018, two new independent members were elected to the Board of Directors: Fabio Dutra - executive with extensive experience in financial institutions in products, innovation, commercial and market development areas and with technological bias, adding in to the Bank's digital transformation; and Sergio Machado Zica de Castro - manager with vast experience in leadership position in the financial market, being a member of Pine's Audit Committee since 2013.
In this way, the Board of Directors is composed of 8 members: Noberto Pinheiro as Chairman, Rodrigo Pinheiro as Vice Chairman, Igor Pinheiro and Norberto Zaiet as members, and Gustavo Junqueira, Mailson da Nóbrega, Sergio Machado Zica de Castro and Fabio Dutra as independent members.
At the Board of Directors Meeting held on January 08th, 2018, two new members were elected to the Audit Committee: Lavínia Junqueira - professional with more than 20 years of experience in financial and auditing institutions, being recognized by the market for her solid knowledge on regulatory, tax and legal issues; and Carlos Elder Aquino - executive with more than 20 years of experience in leading positions in financial and auditing institutions, with extensive knowledge in structuring and participating in audit committees, boards of directors and fiscal council.
The two new members replace Gustavo Junqueira and Susana Waldeck. In addition, William Pereira, a member of the Audit Committee since 2012 has been appointed as Chairman of the Committee.
With these changes, the Audit Committee is composed as follows: William Pereira as Chairman, Sergio Machado Zica de Castro, Lavínia Junqueira and Carlos Elder Aquino as members.
