RESIGNATION AND REPLACEMENT OF SCHEME MANAGER

The Board of Directors (the "Board") of Asiatravel.com Holdings Ltd ("Company", together with its subsidiaries, the "Group") wishes to announce that Ms Ellyn Tan Huixian ("Ms Tan") has resigned as the Scheme Manager of the Company, with effect from 19 December 2021, having given the written notice pursuant to Clause 7.9 of the Scheme of Arrangement dated 9 November 2020. Accordingly, as provided in Clause 7.1 of the Scheme Arrangement, Mr Yit Chee Wah will replace Ms Tan as the Scheme Manager, with effect from 20 December 2021.

The changes have no impact to the Scheme Arrangement and the Company.

The Company will make further announcements to update Shareholders as and when there are material developments relating to any of the abovementioned matters.

Shareholders and potential investors of the Company are advised to read this announcement and any further announcements by the Company carefully. Shareholders are advised to refrain from taking any action in respect of their securities in the Company, which may be prejudicial to their interests, and to exercise caution when dealing in the securities of the Company.
