Nmas1 Dinamia : Alantra advises 3D Systems on the simplified tender offer followed by a squeeze out on Phenix Systems

Alantra is pleased to announce that it advised 3D Systems, the leading designer, manufacturer and distributor of 3D printers on the simplified tender offer followed by a squeeze out on Phenix Systems, a French designer, manufacturer and distributor of metal and ceramics 3D printers.
Having crossed the 95% threshold in terms of shares and voting rights at the end of the offer period, 3D Systems asked for the delisting of the company from Alternext.
The offer price of €58.0 values Phenix Systems ca. €67m and represents a premium of 11.5% over the €52.0 closing price of October 3rd, 2016, last trading date before the announcement. This also represents a premium of 27.1% over the 60 days volume weighted average price before the announcement.
The acquisition is in line with 3D Systems's strategy to simplify Phenix Systems's structure and management while avoiding costs and constraints of the listing
