Advanzeon Solutions, Inc. filed a plan of reorganization with related disclosure statement in the US Bankruptcy Court on December 3, 2021. As per the plan filed, administrative claims, fees and charges, priority tax claims and priority claims will be paid full in cash. Secured Claims of Sherfam of $3.80 million will receive payment in cash and issuance of note. Secured Claims of Katzman of $1.22 million will receive such amount from the proceeds of the UHC Receivable based upon the priority of its lien. Secured Claims of Related Party Secured Creditors will receive such amount from the proceeds of the UHC Receivable based upon the priority of its lien. Secured Claims of TCA Global Credit Master Fund, LP shall continue to comply with the agreements and contracts in effect between TCA and the debtor. Unsecured Claims will be paid through pro rata share of Unsecured Creditor Distribution Fund. Intercompany Claims shall remain in place, provided, however, that no payments on account of the Intercompany Claims shall be made unless and until all distributions have been made under the Plan to all senior classes of Claims. Series C Convertible Preferred Interests, Series D Convertible Preferred Interests and Common Stock Equity Interests will not be affected by the Plan; provided, however, that until all distributions under the Plan to Classes 1-8 have been made. The plan will be funded through cash in hand and revenues generated by continued operations.
