Montri Business Co., Ltd. made an offer to acquire all assets from 101 Montri Storage Property Fund (SET:MONTRI) for approximately THB 360 million on July 3, 2018. Under the terms of the offer, Montri Business Co., Ltd. will submit a letter of guarantee in the amount of THB 36.2 million on the date which the unit holders’ meeting of 101 Montri Storage Property Fund approves the deal, first installment of THB 72.6 million within 6 months from the date of the unit holders’ meeting of 101 Montri Storage Property Fund and the last installment of THB 289.4 million on the date of title transfer registration. After receiving the offer, the management company of 101 Montri Storage Property Fund has negotiated the terms and conditions of asset purchase several times until reaching the conclusion and signing a conditional agreement to sale and to purchase the asset by September 21, 2018. As per the last offer to purchase, the purchase price has been amended to THB 410 million. As per the last offer, Montri Business Co., Ltd. will pay first installment of THB 41 million on the date when unit holders’ meeting of 101 Montri Storage Property Fund approves the deal, second installment of THB 82 million on March 20, 2019 and last installment of THB 287 million on the date of title transfer registration. If Montri Business Co., Ltd. cannot pay the second installment or accept the title transfer of the asset within the date specified, it shall be deemed that Montri Business Co., Ltd. has breached the conditional agreement to sale and to purchase and be oblige to return the possession of the asset to 101 Montri Storage Property Fund immediately. The amount already paid to 101 Montri Storage Property Fund shall be considered as the payment for the use of the asset. The deal is subject to approval of unit holders of 101 Montri Storage Property Fund. As per the first offer, the deal will be completed within one year 1 year from the date of the unit holders’ meeting of 101 Montri Storage Property Fund. As of October 31, 2019, shareholders of 101 Montri Storage Property Fund has approved the trasnaction. As per the last offer, the date of title transfer registration will not be later than September 20, 2019. CIMB-Principal Asset Management Company Limited is the management company of 101 Montri Storage Property Fund.
