Yingkou Jinchen Machinery Co., Ltd. (SHSE:603396) agreed to acquire the remaining 0.5% stake in Suzhou Xinchen Smart Information Technology Co., Ltd. from Zhang Zhendong for CNY 0 on March 27, 2020. Because Zhang Zhendong has not yet paid for its subscribed registered capital, the share transfer price is CNY 0. After completion, Suzhou Xinchen Smart Information Technology will become a wholly-owned subsidiary of Yingkou Jinchen Machinery. As at December 31, 2019, Suzhou Xinchen Smart Information Technology had total assets of CNY 1.8 million and net liabilities of CNY 3.3 million. For the year ended December 31, 2019, Suzhou Xinchen Smart Information Technology had net loss of CNY 3.9 million and revenues of CNY 0.9 million. On March 27, 2020, the 20th session of Yingkou Jinchen Machinery’s 3rd directorate approved the transaction.
