To conduct the public offering prior to the initial listing, the Company increases capital of NT$210,200,000 by cash and issues 21,020,000 ordinary shares with a par value of NT$10 per share, which was declared effective by the Taiwan Stock Exchange Co., Ltd. on April 28, 2022, with the letter No. 1111801673. B. With the exception that 11.99% (2,520,000 shares) of the total amount of new shares to be issued is reserved for employees to subscribe in accordance with Article 267 of the "Company Act", the remaining 88.01% (18,500,000 shares) will be publicly offered in accordance with the provisions of Article 28-1 of the "Securities and Exchange Act" and the resolution of the extraordinary shareholders meeting on March 23, 2022; the provisions of paragraph 3 of Article 267 of the "Company Act" which allows the original shareholders the rights to priority subscription to new issues shall not be applicable. Shares unsubscripted by employees will be authorized to chairman to conduct the placement to specified persons. The unsubscripted shares of public offering shall be handled in accordance with the provisions of "Taiwan Securities Association Rules Governing Underwriting and Resale of Securities by Securities Firms". C. The initial offering and underwriting will be conducted partly by competitive auction and partly by public subscription. The upper limit of the offering price shall be 70 percent of the simple arithmetic mean of the average trade prices, after factoring out ex-rights trading in connection with issuance of stock dividends (or ex-rights trading in connection with capital reduction) and ex-dividend trading, of the 30 business days on which trades have been executed before the filing of the competitive auction agreement with the Taiwan Securities Association. The upper limit is set at NT$ 254.39 per share (the reserve price of the competitive auction), and the shares will be awarded on the basis of bid price in descending order. Each successful bidder shall subscribe the securities at the bidder's own award price. The offering price of public subscription will be computed as the weighted average of the bid price of all successful bids, and will be capped at 1.14 multiple of the minimum offering price. Therefore, the offering price per share is tentatively set at a premium of NT$ 290 dollars. D. The funds to be raised will be used to increase working capital. E.
