NOTICE TO THE MARKET

VIA VAREJO S.A. ("Via Varejo" or the "Company"), in accordance with Art. 12 of CVM Ruling 358/02, discloses that it received, on the date hereof, a communication from da Nuveen, LLC (formerly designated TIAA Global Asset Management LLC), in its capacity of indirect controller of the management funds Teachers Advisors, LLC ("Teachers") and TIAA-CREF Investment Management, LLC ("TCIM"), through which it was informed that investment funds assisted by Teachers and TCIM acquired Units which, together with the interest held by Nuveen, LLC, correspond to 63,620,868 preferred shares, representative of, approximately, 10.02% of the total preferred shares issued by the Company. The full content of the communication is disclosed as part of this Notice to the Market.

According to the aforementioned communication, the purpose of the above mentioned equity interest is exclusively investment, and does not intend to change the stock control or the administrative structure of the Company.

Em conformidade com o Artigo 12 da Instrução da Comissão de Valores Mobiliários nº 358, datada de 03 de janeiro de 2002, conforme alterada, a Nuveen, LLC (anteriormente denominada TIAA Global Asset Management LLC), localizada na 730 Third Avenue, New York, NY 10017 ("Nuveen"), na qualidade de controladora indireta da gestora de recursos Teachers Advisors, LLC ("Teachers") e TIAA-CREF Investment Management, LLC ("TCIM"), vem informar aos acionistas da Via Varejo S.A., companhia aberta com sede na Rua João Pessoa, nº 83, Centro, CEP 09520- 010, na cidade de São Caetano do Sul, Estado da São Paulo, inscrita no cadastro nacional de pessoas jurídicas ("CNPJ/MF") sob o nº 33.041.260/0652-90 ("Sociedade") e ao público em geral, que:

1. Investment funds advised by Teachers and TCIM acquired Units, which in addition to Nuveen current shareholding correspond to 63,620,868 preferred shares, representing, approximately, 10.02% of the total preferred shares issued by the Company.

1. Fundos de investimento assessorados por Teachers e TCIM adquiriram Units, as quais em conjunto com a participação atual da Nuveen, correspondem a 63.620.868 ações preferenciais, representativas de, aproximadamente, 10,02% do total de ações preferenciais de emissão da Sociedade.

2. Additionally, Nuveen: 2. Adicionalmente a Nuveen:

(a) informs, pursuant to Article 119 of the Regulation No. 6,404, dated 15 December 1976, as amended, that its legal representative is Citibank Distribuidora de Titulos e Valores Mobiliarios S.A., inscribed in the CNPJ/MF under No. 33.868.597/0001-40;

1. informa, para fins do Artigo 119 da Lei nº 6.404, de 15 de dezembro de 1976, conforme alterada, que seu representante legal no Brasil é o Citibank Distribuidora de Titulos e Valores Mobiliarios S.A., inscrito no CNPJ/MF sob o n° 33.868.597/0001-40;

2. states that this acquisition is made exclusively with investment purposes, and does not intend to modify the Company's corporate control or the Company's management structure; and

1. declara que o objetivo das participações societárias acima mencionadas é exclusivamente de investimento, não tendo propósito alteração do controle acionário ou da estrutura administrativa da Sociedade; e

2. has not entered into any agreement or contract governing the exercise of voting rights or the sale and purchase of securities issued by the Company.

(c) não celebrou nenhum acordo ou contrato para reger o exercício dos direitos de voto ou a compra e venda de valores mobiliários emitidos pela Sociedade.
