Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On January 13, Twist Bioscience Corporation (the "Company") announced that
Patrick Weiss was appointed by the Board of Directors (the "Board") as the
Company's new Chief Operating Officer, effective as of the close of business on
January 7, 2020 (the "Effective Time") and will replace William Banyai, Ph.D. in
such capacity. Concurrently, the Company also announced that Dr. Banyai was
appointed as Senior Vice President of Advanced Development and General Manager
of Data Storage as of the Effective Time and will no longer serve as Chief
Operating Officer as of the Effective Time. Dr. Banyai will continue to serve as
a director on the board of directors of the Company.
Mr. Weiss, age 49, previously served and the Company's Senior Vice President of
Research and Development, General Manager of Data Storage from October 2018 to
January 2020 and as the Company's Vice President of Operations from January 2014
to September 2018. Prior to joining the Company, Mr. Weiss served as an outside
consultant to various technology companies between April 2010 and December 2013.
Mr. Weiss also served as Chief Executive Officer of Operon Biotechnologies, Inc.
from June 2004 to March 2010. Mr. Weiss holds an M.Sc. in Chemistry from E.T.H.
Zurich.
There are no family relationships between Mr. Weiss and any director or officer
of the Company and he has no direct or indirect material interest in any
transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
