Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 23, 2020, E.V. (Rick) Goings tendered his resignation from the Board of Directors (the "Board") of Tupperware Brands Corporation (the "Company") due to retirement, effective February 19, 2020. Mr. Goings did not resign due to any disagreement with the Company or its management on any matter relating to the Company's operations, policies or practices. In connection with Mr. Goings' retirement, the Board has determined to reduce its size from eleven to ten directors.

A copy of the Company's press release concerning Mr. Goings' retirement is attached to this Current Report on Form 8-K as Exhibit 99.1.
