NOTICE OF COMMENCEMENT OF QUALIFICATION PROCEEDINGS FOR THE POSITION of President of the Management Board / Vice-President of the Management Board for Production / Sales / Finance of TORPOL S.A

The Supervisory Board of TORPOL S.A. in Poznań (the 'Company'), acting on the basis of § 18 item VI of the Company's Articles of Association, in connection with the end of the term of office of the current Management Board of TORPOL S.A., announces the commencement of recruitment proceedings for the following positions:

  1. President of the Management Board,
  2. Vice-President of the Management Board for Production,
  3. Vice-President of the Management Board for Sales,
  4. Vice President of the Management Board for Finance.

I. A candidate for the position of President of the Management Board may be a person who fulfils all of the following conditions:

  1. has a university degree or a university degree obtained abroad which is recognised in the Republic of Poland on the basis of separate regulations,
  2. has at least 15 years of employment under an employment contract, contract of appointment, election, designation, co-operative employment contract, or provision of services under another contract or in self-employment,
  3. has at least 10 years of experience in managerial or independent positions or from self-employment,
  4. has negotiating skills,
  5. has knowledge and experience of knowing how to manage and lead teams of employees in a large company,
  6. has the ability to work in a team,
  7. has full legal capacity,
  8. enjoys full public rights,
  9. has the right to occupy the position of a member of the management board in commercial law companies without restrictions or prohibitions.

Additional advantages will be:

  • knowledge of a foreign language,
  • experience in the management of public companies listed on the Warsaw Stock Exchange,
  • experience in managing entities operating in the field of railway and/or tramway infrastructure construction.

II. A candidate for Vice President of the Management Board for Production may be a person who fulfils all of the following conditions:

  1. has a higher technical education or a higher technical education obtained abroad, recognised in the Republic of Poland on the basis of separate provisions,
  2. has at least 10 years of employment under an employment contract, contract of appointment, election, designation, co-operative employment contract, or provision of services under another contract or in self-employment,
  3. has at least 5 years of experience in managerial or independent positions or from self-employment,
  4. has negotiating skills,
  5. has knowledge and experience of knowing how to manage and lead teams of employees in a large company,
  6. has the ability to work in a team,
  7. has full legal capacity,
  8. enjoys full public rights,
  9. has the right to occupy the position of a member of the management board in commercial law companies without restrictions or prohibitions.

Additional advantages will be:

  • knowledge of a foreign language,
  • possession of professional qualifications in the Company's area of activity,
  • professional experience in entities operating in the field of railway and/or tramway infrastructure construction.

III. A candidate for the Vice President of Sales may be a person who fulfils all of the following conditions:

  1. has a higher technical education or a higher technical education obtained abroad, recognised in the Republic of Poland on the basis of separate provisions,
  2. has at least 10 years of employment under an employment contract, contract of appointment, election, designation, co-operative employment contract, or provision of services under another contract or in self-employment,
  3. has at least 5 years of experience in managerial or independent positions or from self-employment,
  4. has negotiating skills,
  5. has knowledge and experience of knowing how to manage and lead teams of employees in a large company,
  6. has the ability to work in a team,
  7. has full legal capacity,
  8. enjoys full public rights,
  9. has the right to occupy the position of a member of the management board in commercial law companies without restrictions or prohibitions,
  10. has the knowledge of the procedures and requirements of public procurement law applicable to infrastructure tendering procedures.

Additional advantages will be:

  • knowledge of a foreign language,
  • possession of professional qualifications in the Company's area of activity,
  • professional experience in preparing tenders and conducting commercial negotiations in entities operating in the field of infrastructure construction.

IV. A candidate for the Vice President of Finance may be a person who fulfils all of the following conditions:

  1. has a higher education degree in economics or a higher education degree in economics obtained abroad recognised in the Republic of Poland on the basis of separate provisions,
  2. has at least 10 years of employment under an employment contract, contract of appointment, election, designation, co-operative employment contract, or provision of services under another contract or in self-employment,
  3. has at least 5 years of experience in managerial or independent positions or from self-employment,
  4. has negotiating skills,
  5. has knowledge and experience of knowing how to manage and lead teams of employees in a large company,
  6. has the ability to work in a team,
  7. has full legal capacity,
  8. enjoys full public rights,
  9. has the right to occupy the position of a member of the management board in commercial law companies without restrictions or prohibitions,
  10. has knowledge and experience of accounting, investment project appraisal, corporate finance, corporate audit and financial control and accounting for long-term contracts in the area of infrastructure construction.

Additional advantages will be:

  • knowledge of a foreign language,
  • experience in cooperation with the banking and insurance sectors,
  • professional experience of financial affairs in public companies listed on the Warsaw Stock Exchange.

V. A candidate for the position of President of the Management Board/Vice President for Production / Sales / Finance may not be a person who fulfils at least one of the following conditions:

  1. serves as a social associate or is employed in the office of a Member of Parliament, Senator, MP or Member of the European Parliament on the basis of an employment contract or provides work on the basis of a contract of mandate or other contract of a similar nature,
  2. is a member of a political party body representing the political party,
  3. is employed by a political party on the basis of an employment contract or provides work on the basis of a contract of mandate or another contract of a similar nature,
  4. his/her social or gainful activity gives rise to a conflict of interest with respect to the Company's activities.

VI.Written applications of candidates will be accepted at the registered office of the Company: ul. św. Michała 43, 61-119 Poznań, secretariat of the Management Board, from 29 May 2024 to 07 June 2024 until 12:00 (midday), excluding public holidays, Saturdays and Sundays, or by mail. The deadline for submission of the application shall be the date of receipt of the application by the Company - the date and time of delivery shall be decisive.

VII. The application should include:

  1. name and surname and information on how to contact the candidate (address, e-mail address, telephone number),
  2. letter of motivation concerning the planned activities and activities in the overall activity of the Company, strategic directions (President of the Management Board) or operational area of the Company (Vice-President of the Management Board for Production/ Sales/ Finance),
  3. CV,
  4. higher education diploma: master's degree, engineering degree or equivalent,
  5. documents confirming the required length of service and professional experience,
  6. certificate of no criminal record issued not later than 30 days prior to the submission of the application - the certificate obtained in electronic version (XML file) should be submitted on a computer data carrier, a printout of the visualisation of the electronic certificate is not a document and will not be accepted,
  7. declaration of full legal capacity,
  8. declaration of the right not limited by regulations or prohibitions to hold the position of a member of the board of directors in commercial companies,
  9. a statement that reads: 'I consent to the processing of my personal data for the purpose of recruitment in accordance with Article 6(1)(a) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation)',
  10. information whether the candidate has/will submit a lustration declaration pursuant to Art. 7 of the Act of October 18, 2006. on the disclosure of information about documents of state security organs from the years 1944-1990 and the content of these documents (consolidated text: Journal of Laws of 2013, item 1388) or a commitment that he is ready to submit this declaration (or information referred to in referred to in the Act) before being appointed to the position of President of the Management Board/Vice-President of the Management Board for Production/Sales/Finance if she/he is selected in the qualification procedure, or information that she/he is not subject to this obligation,
  11. documents confirming compliance with other requirements.

VIII. The candidate's written application together with the required documents and declarations should be delivered to the address of the Company's registered office, i.e.: TORPOL S.A., ul. św. Michała 43, 61-119 Poznań, in sealed envelopes with the note: "Postępowanie kwalifikacyjne na stanowisko Prezesa Zarządu/Wiceprezesa Zarządu ds. Produkcji/Handlowych/ Finansowych, TORPOL S.A. w Poznaniu. Nie otwierać". [translation of the note: "Qualification procedure for the position of President of the Management Board/Vice-President of the Management Board for Production/Sales/Finance, TORPOL S.A. in Poznan. Do not open".]

The documents should be submitted in originals or copies. Copies of documents may be certified by the candidate, however, in such a case, during the interview, the candidate will present the original or an official copy of the document, under pain of exclusion from further proceedings.

Applications that do not meet the above requirements or are submitted after the deadline for accepting them will not be considered.

IX. Information about the Company can be obtained by candidates on the website at: www.torpol.pl

X. Applications will open on June 10, 2024.

XI. Qualification interviews with candidates will take place on the date and place indicated by the Supervisory Board.
Candidates will be notified of the date and place of the interview by phone or e-mail at least 2 days before this date.

XII. The following topics will be covered in the interview:

  1. self-presentation of the candidate along with a presentation regarding planned activities and activities related to the Company,
  2. knowledge about the scope of the Company's activities and the sector in which the Company operates and a presentation of the activities expected/proposed by the candidate in the Company related to the performance of the function of President of the Management Board/Vice-President of the Management Board for Production/Sales/Finance,
  3. knowledge of issues related to the management and management of human teams, and the area of negotiations,
  4. knowledge of the principles of operation of commercial companies, with particular emphasis on public companies,
  5. experience necessary to perform the function of a management board member in the Company,
  6. market and competition analysis.

XIII. Candidates will be obliged to submit a declaration of consent to be appointed to the position of President of the Management Board / Vice-President of the Management Board for Production / Sales / Finance of the Company if selected by the Supervisory Board of the Company and to notify them of the result of the qualification procedure in which they participated. Without providing any reasons, the Company's Supervisory Board may terminate the qualification procedure at any time without selecting a candidate.

XIV. The application must include a declaration:

XV. Candidates take part in the qualification procedure at their own expense and risk.

REPORTING OBLIGATION

According to Article 13(1) and (2) of the Regulation of the European Parliament and of the Council (EU) 2016/679 of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free flow of such data and the repeal of Directive 95/46/EC (hereinafter: GDPR), we announce that:

  1. The controller of personal data (hereinafter "CPD") disclosed by the candidate in the conducted qualification procedure for of the President of the Management Board/Vice-President of the Management Board for Production/Sales/Finance
  2. Personal data will be processed in order to conduct the recruitment procedure in which the candidate participates and will be processed on the basis of:
    a) Art. 6 (1)(a) of GDPR - based on the candidate's consent (sending the application is understood as the candidate's consent),
    b) Art. 6 (1)(b) of GDPR - for concluding a contract,
    c) Art. 6 (1)(f) of GDPR, i.e. a legitimate interest of CPD.
    A legitimate interest pursued by CPD is the verification of the reliability of the submitted statements and the enforcement of claims arising from the law;
  3. Personal data will not be processed outside the EEA.
  4. Providing data is voluntary, but necessary to participate in the qualification procedure;
  5. The recipient of personal data may be:
    a) competent public authorities,
    b) entities providing correspondence,
    c) entities performing documentation destruction services,
    d) entities providing IT services as well as maintenance and technical service of devices used by CPD;
  6. The data will be immediately (not later than within the period of six months) deleted if the procedure results in a negative result, unless the provisions of generally applicable law require that they continue to be stored;
  7. We inform you about your right to:
    a) access to your personal data and request a copy thereof,
    b) rectification of your personal data,
    c) request to limit the processing of your data,
    d) data transfer,
    e) deletion of data.
    In relation to data processed on the basis of legitimate interests pursued by the administrator, the candidate has the right to object to the processing of personal data;
