Passing away of Chairman of the Board

The board (the "Board") of directors (the "Directors") of Top Education Group Ltd (the "Company", together with its subsidiaries, the "Group") announces with great sadness that Dr. Minshen Zhu ("Dr. Zhu"), the Chairperson of the Board, the Chief Executive Officer, an executive Director, a member of the nomination committee of the Board (the "Nomination Committee") and an authorised representative of the Company, passed away on 28 April 2021.

Dr. Zhu played an outstanding role in the development of Australian private higher education provision, placed the highest possible emphasis on the development of high standards and integrity, as well as upon creating the best possible student learning experience. As a noted scholar himself, Dr. Zhu emphasised the importance of promoting research and scholarship in private higher education, and to promoting international linkages and collaboration. He is much missed.

The Board would like to express its sincere appreciation for the valuable leadership, guidance and contribution made by Dr. Zhu to the Group over the years, and extends its deepest condolences to Dr. Zhu's family.

Appointment of Chairperson of the Board, Chief Executive Officer and authorised representative

Following the passing of Dr. Zhu, the Board wishes to announce that with effect from 30 April 2021, Ms. Sumeng Cao, an executive Director, has been appointed as the Chairperson of the Board, the Chief Executive Officer and an authorised representative of the Company.

The Board is considering the composition of the Nomination Committee and further announcement(s) will be made as soon as practicable once a new member has been appointed in place of Dr. Zhu.
