TaskUs, Inc. (NasdaqGS:TASK) completed the acquisition of heloo for $55.09 million on April 15, 2022. Under the terms of the sale and purchase agreement, TaskUs, Inc. acquired heloo in exchange for approximately $24 million in cash, subject to working capital adjustments, plus 200,103 shares of TaskUs, Inc. Class A common stock and up to approximately $24 million in additional consideration with payment contingent upon the satisfaction of certain conditions. The closing cash consideration for the acquisition was funded by the April 12, 2022 draw under the Revolving Credit Facility. Simpson Thacher & Bartlett LLP acted as legal advisor to TaskUs, Inc.
