Zhuhai Jinfuyuan Enterprise Management Partnership (Limited Partnership) signed Share Transfer Agreement to acquire 7.7% stake in Tanyuan Technology Co., Ltd. (SHSE:603133) from Xu Shizhong and Tianjin Yiyuan Enterprise Management Partnership Enterprise (Limited Partnership) on October 12, 2021. Under the terms buyer will acquire 4,540,000 shares of Tanyuan Technology Co., Ltd held by Xu Shizhong and 11,562,652 shares held by Tianjin Yiyuan Enterprise Management Partnership Enterprise (Limited Partnership). Pre acquisition Xu Shizhong directly holds 66.39 million shares, and indirectly holds 11.5 million shares through Tianjin Yiyuan Enterprise Management Partnership Enterprise (Limited Partnership). In a related transaction Zhuhai Jinfuyuan Enterprise Management Partnership (Limited Partnership) and Tanyuan Technology signed the Conditional Effective Share Subscription Agreement to subscribe by cash for no more than 61,118,012 shares of this non-public offering. After the completion of the transfer of the shares and the completion of the non-public issuance, Zhuhai Jinfuyuan Enterprise Management Partnership (Limited Partnership) will hold 77,220,664 shares of Tanyuan Technology, accounting for 28.57% Tanyuan Technology Co., Ltd. of increased capital. The transaction is subject to general meeting of shareholders for review and approval of the transaction, and approval of China Securities Regulatory Commission. The transaction has been approved at the 15th extraordinary meeting of the third board of directors of Tanyuan Technology Co., Ltd. Southwest Securities Co., Ltd. (SHSE:600369) acted as financial advisor to Tanyuan Technology in the deal.
Zhuhai Jinfuyuan Enterprise Management Partnership (Limited Partnership) completed the acquisition of 7.7% stake in Tanyuan Technology Co., Ltd. (SHSE:603133) from Xu Shizhong and Tianjin Yiyuan Enterprise Management Partnership Enterprise (Limited Partnership) on March 7, 2022. As a result, Xu Shizhong's holding in Tanyuan Technology changed from 31.74% to 29.57% and Tianjin Yiyuan Enterprise Management will cease to have any stake in Tanyuan Technology.
