5.Cause of occurrence:
(1)The Company issued 6 million privately placed
common share dilivered to subscriber on 8/28/2018,
and has been over 3 years after the delivery date.
According to article 68 of "Regulations Governing the
Offering and Issuance of Securities by Securities
Issuers" company may apply for retrospective public
issuance and OTC listing for private placement of
share after three years from the delivery date.
(2)According to article 15 of "Taipei Exchange Rules
Governing the Review of Securities for Trading on
the TPEx", once the restricted transfer period of
privately placed shares has elapsed, the company
may file a listing application after applying to
the TPEx for a letter of approval for aforementioned
6 milllion plavate placed common shares issued in 2018.
(3)For the aforementioned application handling, the
board of directors authorizes the chairman to handle it
in accordance with relevant laws, regulations and the
actual situation.
6.Countermeasures:The company will apply to the
Competent Authority to complete the retrospective
public issuance process.
