Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements with Certain Officers
Effective January 17, 2020. Jessica Michelle Feingold resigned as a member of
the Company's Board of Directors in order to pursue other interests. The Company
concurrently accepted Ms. Feingold's resignation. While the Company will not
immediately appoint a successor director, Dennis A. Suskind, former General
Partner for Goldman Sachs & Co. LLC, will join Stem's Board of Directors
effective during the first calendar quarter of 2020. Suskind had previously
joined Stem's Advisory Committee in May 2019 and has strongly contributed to the
Company's ongoing growth and strategic planning initiatives. The Company will
file a Current Report on Form 8-K at the time Mr. Suskind's appoint is confirmed
by the Company's Board of Directors which will include his biography.
Stem Holdings, Inc. is a vertically integrated cannabis branded products and technology company.
