Item 8.01. Other Information.
Pillar General Inc., a wholly-owned subsidiary of the Standard Diversified Inc.
(the "Registrant"), owns 100% of Interboro Holdings, Inc. which is a holding
company and includes the accounts of its wholly-owned subsidiaries
(collectively, "Interboro") which consist of Interboro Management, Inc. and
Maidstone Insurance Company ("Maidstone"), formerly known as AutoOne Insurance
Company. Maidstone is domiciled in the State of New York and is a property and
casualty insurance company which provides automobile insurance.
As the Registrant has previously disclosed, in August 2019, Maidstone consented
to the entry of an order of liquidation pursuant to Article 74 of the New York
Consolidated Insurance Law ("Order of Liquidation") with the New York State
Department of Financial Services (the "NYSDFS"). On January 14, 2020, the
NYSDFS filed its petition for the entry of an Order of Liquidation in the
Supreme Court of the State of New York, County of Nassau. If the entry of the
Order of Liquidation is approved, the Company expects to have no ongoing
obligations with respect to Maidstone. No assurance can be given that the Order
of Liquidation will be approved, and the timing of such approval, if given, is
not known.
