On January 10, 2020, David S. Harris, a member of the Board of Directors of Spectrum Brands Holdings, Inc. (the “Company”), resigned from the Company’s Board of Directors. Mr. Harris resignation was not due to any disagreement with the Company. The Company intends to find a suitable replacement to fill the vacancy created by Mr. Harris’s resignation.
