On March 1, 2023, Gregory M. Gentile notified Silver Spike Investment Corp. (the “Company”) of his intent to resign from his Chief Financial Officer and other positions with the Company, effective as of March 7, 2023. Mr. Gentile's decision to resign from the Company was not due to a disagreement on any matter related to the Company's operations, policies or practices.

Mr. Gentile is expected to serve as a consultant to the Company to facilitate an orderly transition to his successors. On March 7, 2023, the board of directors of the Company appointed Umesh Mahajan to the position of Chief Financial Officer of the Company, effective March 7, 2023. Mr. Mahajan will serve as Chief Financial Officer of the Company until his successor has been duly elected and qualified, or until the earlier of his resignation or removal.

Mr. Mahajan, age 52, is a Partner and Co-Head of Credit of Silver Spike Capital, LLC (“SSC”), the Company's investment adviser. Prior to joining SSC in 2021, Mr. Mahajan was a Managing Director for four years at Ascribe Capital, a credit fund focused on value investing in middle market companies. From September 2003 to August 2016, Mr. Mahajan worked at Merrill Lynch and Bank of America in various roles in their Global Markets and Investment Banking divisions in New York.

He specialized in credit and special situation investing as a Managing Director in the Global Credit and Special Situations group at Bank of America Securities and as a Vice President in the Principal Credit Group at Merrill Lynch. Mr. Mahajan also worked in Merrill Lynch's energy and power investment banking group for two years. From 1994 to 2001, Mr. Mahajan worked in J.P. Morgan's investment banking team in Asia.

Mr. Mahajan holds a Bachelor of Technology in Electrical Engineering from the Indian Institute of Technology, Bombay and an MBA from The Wharton School of the University of Pennsylvania where he graduated as a Palmer Scholar. Mr. Mahajan also holds a Certificate in ESG Investing from the CFA Institute.
