MINUTES OF THE GENERAL MEETING OF SHAREHOLDERS HELD VIA ELECTRONIC COMMUNICATION

ON TUESDAY, 28 MAY 2024 AT 11:00

1. WELCOME AND OPENING:
   The Chairman of the Board, Dr TV Maphai, presided over the meeting and welcomed all present. The Chairman provided shareholders with a summary of the transaction as outlined in the circular dated 26 April 2024.
2. QUORUM:
   A quorum being present, the Chairman declared the meeting duly constituted. 1
3. NOTICE OF MEETING:
   The Circular, dated Friday, 26 April 2024, including the Notice of the General Meeting, Electronic Participation Application Form and the Proxy Form, which had been approved and signed by the Board and distributed as required were taken as read.
4. ORDINARY RESOLUTION 1 - GRANTING OF AUTHORITY FOR THE SPECIFIC ISSUE
   The granting of authority for the specific issue of new Sibanye-Stillwater ordinary shares upon conversion of the senior unsecured guaranteed convertible bonds was approved.
5. CLOSURE:
   As all the business on the agenda had been dealt with, the Chairman declared the meeting closed and thanked shareholders for their attendance.
