Sansei Yusoki Co., Ltd. (OSE:6357) signed a memorandum of understanding to acquire 13.2% stake in S&S Worldwide, Inc. in April 2012. Larsen MacColl Partners sold its stake in S&S Worldwide. Sansei Yusoki will acquire 45,000 shares of S&S Worldwide. S&S Worldwide will retain its headquarters and manufacturing facilities in Logan, Utah. At its meeting of the Board of Directors held on June 14, 2012, S & S Worldwide approved the transaction. The transaction is expected to close by July 3, 2012. Toshiyuki Arai, Kota Kikuchi, Christian Mock and Kefei Li of Paul Hastings LLP acted as legal advisors for Sansei Yusoki Co., Ltd. Mark Degler and Patrick Mitchell of Miller & Martin acted as legal advisors for Larsen MacColl Partners.
Sansei Technologies, Inc., formerly SANSEI YUSOKI CO., LTD., is primarily engaged in the manufacture and installation of stage machinery, gaming machines, elevating machines and others. The Manufacture segment manufactures and installs stage machinery and elevating machinery for theaters and culture halls, art equipment such as electric decoration devices in television stations, events and concert venues, gaming machines such as roller coasters and towers, and elevating machinery such as elevators, escalators and packing devices. It also purchases products and conducts maintenance work. In addition, the Company is also involved in operation and provision of leisure facilities in amusement parks, and management of parks owned by the Company.
