NEW BOARD MEMBER CO-OPTED ONTO THE BOARD
Milan, November 19, 2015
The Board of Directors of Reno De Medici S.p.A. ('RDM' or the 'Company'), parent company of one of the world's largest producers of recycled cardboard, met today under the chairmanship of Mr. Ignazio Capuano and co-opted Mr. Matteo Rossi as new independent non-executive member of the Board of Directors, in replacement of Mr. Enrico Giliberti, who resigned on November 13, 2015.
The new Board member, who will hold office until the next Shareholders' Meeting of the Company, has been co-opted in accordance with the procedure envisaged in the Article 12 of the Company's by-laws.
The Director, Mr. Matteo Rossi, has declared that he holds the independence requirements pursuant to the law and the by-laws.
Following that appointment, the Company's Board of Directors has also completed the Internal Control Committee, the Compensation Committee, the Related-Parties Transactions Committee, the Nomination Committee and the Oversight Body, by appointing the independent non-executive Director, Mr. Matteo Rossi, as new member of the aforementioned bodies.
