Minutes No 919 of the Board of Directors Meeting

DATE, TIME AND VENUE: January 27, 2021, at 2:00 PM, at the Company's headquarters, located at Abramo Randon Ave, 770, Caxias do Sul, RS.

ATTENDANCE: All members of the Board of Directors, through the Atlas Governance Portal.

PRESIDING BOARD: David Abramo Randon - Chairman and Alexandre Randon - Secretary.

RESOLUTIONS: According to the Company's Bylaw, and as controlling shareholder, by unanimous vote, the Board of Directors decided to aprove the acquisition, through the controlled company Castertech Fundição e Tecnologia Ltda., of the totality of the shares representing the capital stock of CNCS Indústria Metalúrgica Ltda., registered under the Tax Payer Registry (CNPJ) No 73.270.605/0001-76, located at Caxias do Sul (RS), totaling R$ 21,500,000.00 (twenty-one million and five hundred reais), which may be adjusted on the closing date, according to the contracted premises. The deal will be concluded after the fulfillment of the preceding conditions, and the objective of the acquisition is to expand the production capacity in machining services, increase revenue and strengthen the company's position in new markets, such as the agricultural sector.

CLOSURE: There being no other matter to address, the meeting was closed, and the minutes were drawn up, which, read and approved, were electronically signed by all members of the Board, through the digital platform Docusign.
