The National Securities Market Commission (CNMV) has approved the prospectus for PRISA's capital increase and pre-emptive subscription rights, worth EUR 563 million. The prospectus sets out the terms and conditions of the increase and the procedure for subscription of the new shares.
The capital increase operation will be guaranteed via an Underwriting and Placement Agreement signed by PRISA with Banco Santander and Morgan Stanley, which have been designated by the Board of Directors of the Group as global coordinators and underwriters of the increase and rights issue.
The Underwriting and Placement agreement, along with the subscription commitments received from existing shareholders of PRISA, cover 100% of the increase and rights issue, subject to the terms described in the prospectus approved by the CNMV.
As indicated in the prospectus, the preferential subscription period is expected to open on January 27, 2018, once the required notice has been published in the Official Bulletin of the Commercial Registry (BORME ).
