Dominion Water Reserves Corp. (CNSX:DWR) entered into a letter of intent to acquire 11973002 Canada Inc. from Aquanord Inc. for CAD 0.54 million on August 18, 2020. Dominion Water Reserves Corp. (CNSX:DWR) entered into a definitive agreement to acquire 11973002 Canada Inc. from Aquanord Inc. for CAD 0.49 million on October 26, 2020. As part of the consideration Dominion Water Reserves will (i) issue an aggregate of 0.71 million common shares in the capital of Dominion Water Reserves at a deemed price of CAD 0.35 per share and (ii) pay CAD 0.15 million on or before September 1, 2020, CAD 0.15 million on or before September 30, 2020 and a final CAD 0.1 million on or before October 30, 2020. As per definitive agreement, Dominion Water Reserves paid CAD 0.15 million concurrently with this agreement and issue an aggregate of 0.71 million common shares to Aquanord at the closing. In addition Dominion Water will also pay an amount of CAD 0.1 million to Aquanord on March 1, 2021. As part of the acquisition, Dominion Water Reserves has secured a 25-year water sale contract with Aquanord to sell the specialised water, reflecting CAD 0.01 per liter for the first 5 years; CAD 0.01 per liter for the following 5 years; CAD 0.02 per liter for the subsequent 5 years, CAD 0.02 per liter for the then following 10 years. After 25 years, an annual increase would be based on the Canadian consumer price index. The closing of the proposed acquisition is subject to among other things the execution of a definitive share exchange agreement. As of October 26, 2020, the transaction is subject to regulatory approval.
