Primaris Retail REIT Files Notice of Meeting and Circular

Toronto (Ontario), February 22, 2013 -Primaris Retail REIT (TSX:PMZ.UN) ("Primaris") announced today that it has filed on SEDAR a Notice of Special Meeting of Unitholders and a Management Information Circular relating to the previously announced transactions involving Primaris, H&R REIT and a Kingsett Capital-Led Consortium. Registered holders of voting units can expect to receive the meeting materials by mail in the ordinary course. In accordance with the requirements of applicable Canadian securities laws, Primaris has distributed copies of the meeting materials to applicable clearing agencies and intermediaries for onward distribution to non-registered holders of voting units. The meeting materials are also available on the Primaris website: www.primarisreit.com.
The special meeting of Primaris voting unitholders is scheduled to be held at the Trump International Hotel & Tower Toronto, 325 Bay Street, on March 22, at 10am to consider a resolution to approve the transactions.
