Item 2.02. Results of Operations and Financial Condition



On January 26, 2023, OP Bancorp, (the "Company"), the holding company of Open
Bank, issued a press release announcing preliminary unaudited results for the
fourth quarter ended December 31, 2022. A copy of the press release is attached
as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
Also attached as Exhibit 99.3 is a slide deck presentation for the results for
the fourth quarter.

The information in this report set forth under this Item 2.02 shall not be
treated as "filed" for purposes of Section 18 of the Securities Exchange Act of
1934, nor shall it be deemed incorporated by reference into any registration
statement or other document pursuant to the Securities Act of 1933 or the
Securities Act of 1934, except as expressly stated by specific reference in such

Item 8.01.  Other Events

On January 26, 2023, the Company also announced that its Board of Directors
declared a quarterly cash dividend of $0.12 per common share. The cash dividend
is payable on or about February 23, 2023 to all shareholders of record as of the
close of business on February 9, 2023. A copy of the press release is attached
hereto as Exhibit 99.2.
