The Briscoe Law Firm, PLLC, founded by a former state prosecutor and enforcement attorney for the United States Securities and Exchange Commission, and the securities litigation law firm of Powers Taylor, LLP are investigating potential legal claims against the Board of Directors of Nobel Learning Communities, Inc. ("Nobel Learning" or "NLCI") (NASDAQ: NLCI) related to the acquisition of Nobel Learning by the private equity firm Leeds Equity Partners.

The definitive acquisition agreement, which was announced on May 18, 2011, involves an all-cash transaction valued at approximately $149 million. Under the proposed buyout, Nobel Learning shareholders will receive only $11.75 in cash for each share of Nobel Learning/NLCI common stock they hold.

The firms are investigating the fairness of the proposed transaction to Nobel Learning shareholders, whether the shareholders are being underpaid for their stock, and whether Nobel Learning's Board of Directors acted in the shareholders' best interests. In particular, although the acquisition price represents a 36% premium over Nobel Learning's closing price the day before the announcement, Nobel Learning stock closed at $10.12 per share as recently as May 12, 2011. Further, at least one analyst has set a target price of $20.00 per share for Nobel Learning stock. The firms are also investigating whether Nobel Learning's Board of Directors adequately considered all viable alternatives before entering into the agreement.
