Regarding the general offer, Toshiaki Takeuchi and Hiroshi Takeuchi, the shareholders of the Company, have agreed not to sell, for the period starting on the day when the issue price etc. is decided and ending on the 180th day from the delivery date of the general offer, the Company's common stock (including potential stock) held by SMBC Nikko Securities Co., Ltd. on the day when the issue price, etc. is determined, without the prior written consent of SMBC Nikko Securities Co., Ltd..
