VOLUNTARY ANNOUNCEMENT

EXPIRY OF MEMORANDUM OF UNDERSTANDING

IN RELATION TO

A METAL MINE IN INNER MONGOLIA

This announcement is made by Newton Resources Ltd (the " Company") to inform the shareholders and potential investors of the Company of the latest development of the business of the Company and its subsidiaries.

Reference is made to the announcements of the Company dated 29 December 2017 and 5 July 2018 in relation to the New PRC MOU and the Supplemental PRC MOU (the

• Announcements"). Capitalised terms used herein shall have the sa me meanings as those defined in the Announcements unless the context otherwise requires.

The parties to the New PRC MOU had not concluded or entered into any binding agreement in relation to the Metal Mine before the expiry of the New Exclusivity Period and no further extension of the New Exclusivity Period had been agreed between them. As such, the New Exclusivity Period had ended on 30 June 2019, upon which the New PRC MOU had also expired.
