Approval of the Stockholders to the Amendment of the Company's Articles of Incorporation

Background/Description of the Disclosure

During the Company's Annual Stockholders meeting on June 30, 2022, the stockholders approve the amendment of the secondary purpose clause (Article II) of the Amended Articles of Incorporation by providing for an additional secondary purpose clause (clause 6) to allow the company to offer capacity or financial protection to Health Maintenance Organizations ("HMOs") and similar entities, and thereby renumbering the succeeding secondary purposes of the Company. The proposed language of the additional secondary purpose clause in the Articles of Incorporation of the Corporation is as follows: "6. To take on risks from and provide capacity or financial protection to Health Maintenance Organizations (HMOs) and other similar institutions or entities in accordance with all applicable laws, rules and regulations of the Office of the Insurance Commission and other government agencies."
