MOTA-ENGIL, SGPS, S.A. ANNOUNCES THE COMUNICATION RECEIVED FROM ONE OF ITS SHAREHOLDERS
Under the terms and for the purposes of paragraph 1 of article 17 of the Securities Market Code, as well as, of article 248-B of the Securities Market Code and the CMVM Regulation n. 5/2008, we inform that we have received from Mota Gestão e Participações, SGPS, S.A. the following communication at December 31, 2015:
"Mota Gestão e Participações, SGPS, S.A., a limited liability company with head office at Rua do Rego Lameiro, number thirty eight, 4300-454 Oporto, registered in the Commercial Registry Office of Oporto under the registration and tax payer number 503 101 524 and with a share capital of 31,688,200 euros (hereafter "MGP"), entity related with the board members Mr. António Manuel Queirós Vasconcelos da Mota, Mrs. Maria Manuela Queirós Vasconcelos Mota dos Santos, Mrs. Maria Teresa Queirós Vasconcelos Mota Neves da Costa and Mrs. Maria Paula Queirós Vasconcelos Mota de Meireles, complying with the provisions of articles 16.º and 20.º of the Securities Market Code, as well as the provisions of paragraph 1 of article 2 of the CMVM Regulation n. 5/2008 and the articles 248.º-B of the Securities Market Code, 447.º of the Commercial Companies Code and the n. 14 of the CMVM Regulation n. 5/2008, informs that within the scope of the Mota-Engil, SGPS, S.A. (hereafter "Mota- Engil") share capital increase operation has subscribed 31,103,942 shares, representing 13.1% of Mota-Engil's share capital.
Following the liquidation of the above referred share capital increase, on the 30th of December 2015 MGP now holds 131,343,411 shares, representing approximately 55.30% of Mota-Engil's share capital and 55.67% of the respective voting rights.
This shareholding is also attributable to FM - Sociedade de Controlo, SGPS, S.A. (hereafter "FM"), entity to which were already attributable more than 50% of Mota-Engil's voting rights.
Thus, the total number of shares attributable to FM is now 148,749,625, representing 62.63% of Mota-Engil's share capital and 63.04% of the respective voting rights, as follows:

- Engineering and Construction: Mota-Engil, SGPS, S.A. has developed construction projects in some fifty countries and is present on three continents (Europe, Africa and Latin America) where it has asserted its technical competence and reputation, excelling in the construction of various infrastructures such as roads, freeways, airports, ports, dams and railroads ;
- Industrial Engineering Services: the group has capitalized on its recognized presence and experience since 1998, with a proven ability to operate in numerous markets, reflected in medium-term contracts of between three and eight years;
- Environment: Mota-Engil, SGPS, S.A. began its activities in the environmental sector in Portugal in 1995, through the company SUMA in the urban waste management and collection segment, and added its skills to those of the company EGF, a leader in waste treatment and recovery. Internationally, Mota-Engil is increasingly developing its activities in this sector, in markets such as Angola, Mozambique, Cape Verde, Brazil, Oman and Côte d'Ivoire;
- Mota-Engil Capital: a business unit whose aim is to optimize value creation for the group through investment diversification, underpinned by integrated management of a range of assets and projects complementary to the Engineering, Construction and Environment segments.
- Mota-Engil Mext: unit responsible for differentiated areas such as Real Estate, Agroforestry Production and Energy. It also aims to strengthen investment in innovation and accelerate global transformation;
- Concessions: Mota-Engil, SGPS, S.A. operates, through Lineas and its subsidiaries, a network of some 2,500 km of roads and freeways, including the two bridges of the city of Lisbon. The business extends to international markets, mainly in Latin America.
