MIRVAC GROUP BOARD APPOINTMENTS AND CHANGES TO THE BOARD AUDIT, RISK AND COMPLIANCE COMMITTEE

Mirvac Group [ASX: MGR] today announced the appointment of Christine Bartlett and Samantha Mostyn as Non-Executive directors on the Mirvac Board. Ms Bartlett's appointment is effective today and Ms Mostyn's appointment will be effective on 1 March 2015.
Commenting on the appointments, Mirvac Chairman, John Mulcahy, said, "I am pleased to welcome Christine, who has a wealth of executive experience, and Sam, who brings significant executive director experience, to the Mirvac Board.
"Christine has a strong corporate background, having held senior executive positions for a number of large organisations in the information technology, finance and property sectors, while Sam is an experienced executive and company director in organisations that span corporate and government sectors.
"Their vast skills and knowledge across a number of industries means they are well-equipped to provide valuable insight to the Board and management, who are focused on understanding the role property has to play in a rapidly changing world.
"The appointment of Christine and Sam complements the skills of our existing Board members and increases the number of directors to eight, which we believe is an appropriately sized Board for the scale and complexity of the Mirvac Group," Mr Mulcahy said.

Changes to the Board Audit, Risk and Compliance Committee ("ARCC")

With the appointment of the two Non-Executive directors and the approval of the scheme of arrangement on 19 November 2014 in relation to the Mirvac Industrial Trust ("MIX"), the Board has taken the opportunity to review and restructure the composition of the Board's standing Committees.
Mirvac Group advises that, as part of the Committee restructure, Mr John Peters and Mr Paul Barker have stepped down from the ARCC effective today, and Ms Christine Bartlett has been appointed to the ARCC effective today.
Paul Barker has stepped down from the ARCC following the approval by MIX unitholders of the MIX scheme of arrangement. Mr Barker will continue as Non-Executive Chairman of the board of Mirvac Funds Management Limited, Mirvac's principal funds management responsible entity.

The ARCC will now comprise James Millar (Chair), Christine Bartlett, Peter Hawkins, John Mulcahy and Elana Rubin.

Biographies Christine Bartlett

Ms Bartlett is currently the Executive General Manager, Asset Servicing at National Australia Bank ("NAB"). Prior to this appointment, Ms Bartlett was the Executive Program Director, NextGen at NAB. Ms Bartlett has also held positions as Chief Executive Officer of Jones Lang LaSalle Australia and Chief Operating Officer for IBM's Business Consulting Services in the Asia Pacific region. Ms Bartlett is a Director of The Smith Family and a member of the Australian School of Business Advisory Board, Chief Executive Women and the Australian Institute of Company Directors.

Sam Mostyn

Ms Mostyn is a Non-Executive director and Corporate Advisor, and is currently a Non-Executive Director of Virgin Australia, Transurban Holdings Ltd and CoverMore Limited. She also serves on the Citigroup Pty Ltd (Australian Operations), Climate Council, Climate Works Australia, the Advisory Board of the Crawford School of Government and Economics at the Australian National University and is the President of the Australian Council for International Development. She is Deputy Chair of the Diversity Council of Australia, and has served as an AFL Commissioner since 2005. Prior to
assuming company directorships, Ms Mostyn held senior executive positions at IAG, Optus and Cable
& Wireless Plc.
