Changsha Research Institute of Mining & Metallurgy Co., Ltd. agreed to acquire Guizhou Songtao Jinrui Manganese Industry Co., Ltd., Guizhou Tongren Jinrui Manganese Industry Co., Ltd., Hunan Jintuo Property Co., Ltd., 60% stake in Guizhou Jingui Mining Co., Ltd. and assets and liabilities related to new materials business division including 0.08% stake in Xiangcai Securities Co., Ltd. from Minmetals Capital Company Limited (SHSE:600390) on September 27, 2017. On September 29, 2017, Minmetals Capital Company Limited signed the assets sale agreement with Changsha Research Institute of Mining & Metallurgy Co., Ltd. Assets related to new materials business division consist of annual 7,000 tons of lithium-ion battery superconducting material project, manganese oxide plant, Baoshixi mine and 0.08% stake in Xiangcai Securities Co., Ltd. In related transaction, China Minmetals Co. Ltd, Changsha Research Institute of Mining & Metallurgy Co., Ltd and Minmetals Innovation Investment Co., Ltd agreed to acquire Hunan Changyuan Lico Co., Ltd. and Jinchi Energy Material Co., Ltd. from Minmetals Capital Company Limited (SHSE:600390) on September 27, 2017. The combined value for the transaction is CNY 1.5 billion.
The transaction was approved by Minmetals Capital Company Limited in the 5th Extraordinary General Meeting of 2017. The transaction is approved by the Board of Directors of Minmetals Capital Company Limited.
