Scott+Scott, Attorneys at Law, LLP (“Scott+Scott”), a national shareholder and consumer rights litigation firm, is investigating whether certain directors and officers of Meridian Bioscience, Inc. (“Meridian” or the “Company”) (NASDAQ:VIVO) breached their fiduciary duties to the Company and its shareholders. Meridian is a life science company which develops, manufactures, distributes, and sells diagnostic test kits primarily for various gastrointestinal, viral, respiratory, and parasitic infectious diseases. In March 2016, Meridian announced the acquisition of Magellan Biosciences, Inc. and its wholly-owned subsidiary Magellan Diagnostics, Inc. Magellan provides point-of-care lead testing systems for the testing of blood to diagnose lead poisoning in children and adults.

On May 17, 2017, the U.S. Food and Drug Administration (“FDA”) issued a field safety notice advising that customers discontinue use of Magellan Diagnostics' lead testing system with venous blood samples, following a product recall. Then, on October 23, 2017, Magellan received a warning letter from the FDA following an inspection. In its press release on the same day, the FDA stated that the warning letter was the result of “several violations of federal law” by Magellan, including “marketing significantly modified versions of two of its blood lead testing systems without the FDA’s required clearance or approval and failing to submit medical device reports to the FDA after becoming aware of customer complaints involving discrepancies in blood lead test results.”
