Subject: Conclusion of Significant Agreement
The Management Board of Mercor SA hereby announces that on 01 June 2015, its subsidiary, TECRESA PROTECCION PASIVA S.L. with its registered office in Madrid (Spain) and IBERDROLADISTRIBUCION ELECTRICA S.A.U. with its registered office in Bilbao (Spain) entered into the Purchase Agreement.
The Issuer informed about conclusion of the preliminary agreement and fulfilment of the conditions precedent in the Current Report No. 3/2015 of 21 April 2015 and the Current Report No. 4/2015 of 22 April 2015, respectively.
Pursuant to the agreement, TECRESA PROTECCION PASIVA S.L. sold, and IBERDROLADISTRIBUCION ELECTRICA S.A.U. purchased a plot of land with buildings in Legané (Madrid) located at the Technology Park managed by CONSORCIO LEGANÉS TECNOLÓGICO.
The total purchase price amounted to EUR 3.8 million (three million and eight hundred thousand euros). The amount of EUR 114,000 (one hundred and fourteen thousand euros) was paid by IBERDROLADISTRIBUCION ELECTRICA S.A.U. as a down payment upon signing the preliminary agreement. The amount of EUR 3,306,000 was paid upon signing of the notarial deed. The remaining part in the amount of EUR 380,000 (three hundred and eighty thousand euros) will be paid on the date on which the acceptance certificate is notarized.
The parties agreed that the final transfer of the property shall take place on 30
July 2015. On 30 July 2015, the acceptance certificate is to be executed. In the case of mutual declaration of conformity, the parties will sign a notarized transfer
certificate, and the purchaser will pay the remaining amount of EUR 380,000. In
case of discrepancies, the purchaser and an expert chosen at his discretion will prepare a report of discrepancies, which will entitle the purchaser to deduct the amount of repairs needed from the remaining amount payable. If the retained amount of EUR 380,000 is not sufficient to cover the identified losses, the Seller will be required to bear the costs of the remaining repairs.
In connection with the planned sale, TECRESA PROTECCION PASIVA S.L. decreased the book value of the assets sold as at the end of the financial year from EUR 4.8 million to the amount of the expected selling price.
The signed investment agreement has been recognized as significant, given the fact that the price at which the subsidiary, TECRESA PROTECCION PASIVA S.L. is to sell the property exceeds 10% of the equity of Mercor SA.
