TORONTO, ONTARIO--(Marketwired - Oct 15, 2015) - Medworxx Solutions Inc. (TSX VENTURE:MWX) ("Medworxx") and Aptean, Inc. ("Aptean") are pleased to announce the successful completion of the previously announced plan of arrangement (the "Arrangement") involving Medworxx and an affiliate of Aptean. The Arrangement was completed pursuant to the terms and conditions of an arrangement agreement dated August 27, 2015 between Medworxx, 1047100 B.C. Ltd. and Aptean Patent Co. SARL, and effected by way of a plan of arrangement under the Canada Business Corporations Act.

As previously announced, Medworxx's shareholders approved the Arrangement at a special meeting of shareholders held on October 8, 2015. The Arrangement was subsequently approved by the Superior Court of Ontario at a hearing held on October 13, 2015.

Pursuant to the Arrangement, Aptean beneficially acquired all of the issued and outstanding class A common shares (the "Common Shares") of Medworxx for aggregate consideration of CDN$15,876,823. Each Common Share was acquired by Aptean at a price per Common Share of CDN$0.5656 (the "Cash Consideration"). The Common Shares are expected to be delisted from the TSX Venture Exchange at the close of business on or around October 16, 2015.

In order to receive the Cash Consideration in exchange for their Common Shares, registered shareholders must complete, sign, date and return the letter of transmittal that was mailed to each registered shareholder.
