TERMINATION OF DISPOSAL OF 100% OF THE ISSUED SHARES

IN GL FOOD HOLDINGS PTE. LTD.

AND

SUBSCRIPTION OF PROMISSORY NOTE

This announcement is made pursuant to Rule 14.36 of the Listing Rules.

Reference is made to the announcements of Mason Group Holdings Limited (the ''Company'', together with its subsidiaries, the ''Group'') dated 14 November 2019 and 11 January 2020 in relation to the disposal of 100% of the issued shares in GL Food Holdings Pte. Ltd. and subscription of promissory note (the ''Announcements''). Unless otherwise defined, capitalised terms used herein shall have the same meaning as those defined in the Announcements.

On 9 March 2020 (after trading hours), the Transaction is formally terminated as WHA and WHAI were not able to raise necessary funding to settle the Consideration on or before the Sunset Date of 29 February 2020.

The management of the Company is now considering the impact(s) on the business operation or financial position of the Group in relation to the termination of the supplemental SPA and subscription of Revised Promissory Note. The Group will further discuss the financial reporting standard with the auditors in regard to the termination.

Shareholders and potential investors should exercise caution when dealing in the securities of the Company.
