1. INCORPORATION OF SUBSIDIARY

1.1 The Board of Directors ("Board") of Libra Group Limited (the "Company"), together with its subsidiary (the "Group") wishes to announce that the Company has incorporated a wholly-owned subsidiary, C & E Pioneer Trading Pte. Ltd. with details set out below:

Issued and Paid-Up Share Capital	:	S$1, comprising 1 ordinary share issued at S$1.00 per share
Percentage of shareholding	:	The Company owns 100% of the shareholding interest in C & E
		Pioneer Trading Pte. Ltd.
Principal Activities	:	Supply of building materials and supplies.

1. The incorporation of C & E Pioneer Trading Pte. Ltd. is to further the Group's current principal line of business as a service provider in the Singapore construction industry. The incorporation of the subsidiary was funded through internal resources and is not expected to have any material impact on the net tangible assets per share and earnings per share of the Group for the current financial year ending 31 December 2021.
2. The subsidiary will be seeking to raise working capital for its new business through its operations and financing.
3. None of the Directors or controlling shareholders of the Company has any interest, direct or indirect (other than their shareholdings in the Company), in the incorporation of C & E Pioneer Trading Pte. Ltd.
