to be issued under the Base Prospectus related to the Warrants and Certificates Programme IMI Corporate & Investment Banking dated 23 May 2022 approved by the Commission de Surveillance du Secteur Financier (CSSF) in its capacity as competent authority of Luxembourg (the "Base Prospectus"), as amended by the relevant supplements

With this notice Intesa Sanpaolo S.p.A., in its capacity of issuer of the Certificates (the "Issuer"), hereby gives notice of the postponement of the closure of the Offer Period, in respect of sales by means of financial advisors authorised to make off-premises offers (consulenti finanziari abilitati all'offerta fuori sede), to and including 16 January 2023.

As a consequence of such amendment, the related date indicated in the Final Terms has to be postponed and the terms and conditions of the offer have to be modified.

For this reason, the Issuer has also published the amended and restated Final Terms dated 9 January 2023.

Terms used herein and not otherwise defined shall have the same meaning ascribed to them in the Final Terms relating to the Certificates.
