CLARIFICATION ANNOUNCEMENT IN RESPECT OF

NOTICE OF

ANNUAL GENERAL MEETING DATED 31 JULY 2020

References are made to the circular (the "Circular") of Ground International Development Limited (the "Company") containing the notice of annual general meeting of the Company (the "Notice of AGM"), both dated 31 July 2020. Capitalised terms used in this announcement shall have the same meanings as those defined in the Circular and Notice of AGM unless stated otherwise.

The Company would like to clarify that there is a typographical error on the record date mentioned in Note (3) to the Notice of AGM, where the record date was incorrectly stated as "Friday, 29August 2020". The correct date should have been "Friday, 28August 2020" instead.

The above mentioned clarification does not affect any other information contained in the Circular and the Notice of AGM. Save as aforesaid, all other contents of the Circular and the Notice of AGM remain unchanged.
