 HENDERSON PRIVATE EQUITY INVESTMENT TRUST PLC 

 PDMR Transaction 

In accordance with DTR 3.1.2 R, Henderson Private Equity Investment Trust plc
("the Company") has been informed that, as a result of the Third Tender Offer
of the Company which completed on 18 December 2012, the beneficial shareholding
of Mr John Mackie (Director), has reduced to 3,094 Ordinary shares of 5p
nominal value, equating to 0.09% of the issued share capital.

Of the above holding 939 Ordinary shares are held directly by Mr Mackie and the
remaining 2,155 Ordinary shares are held via Tenon Group.
