Henan Splendor Science & Technology Co., Ltd. (SZSE:002296) signed an agreement to acquire 51% stake in Chengdu Southwest Jiaoda Drive Technology Co., Ltd. from Ke Jian, Wang Guozhi, Wu Wenhai and Qin Jian for CNY 54.3 million on January 20, 2017. Henan Splendor Science & Technology will subscribe to Chengdu Southwest Jiaoda Drive Technology’s registered capital of CNY 3 million for CNY 21.3 million accounting for 20% of the Chengdu Southwest Jiaoda Drive Technology's registered capital after capital increase. Henan Splendor Science & Technology will acquire CNY 4.65 million registered capital of Chengdu Southwest Jiaoda Drive Technology for CNY 32.99 million. After that Henan Splendor Science & Technology will own 51% stake in Chengdu Southwest Jiaoda Drive Technology.
Chengdu Southwest Jiaoda Drive Technology Co., Ltd. reported total revenue of CNY 30.9 million, total assets of CNY 40.4 million, operating profit of CNY 10.03 million, net profit of CNY 8.5 million and net assets of CNY 20.05 million for the year ending, December 31, 2016. The transaction was approved by the Board of Henan Splendor Science & Technology.
