Coda Media Corp. signed a definitive agreement to acquire assets of TheFlyer.com from Harte-Hanks Inc. (NYSE:HHS) in $2 million in secured promissory note on December 17, 2012. The deal value is subject to working capital adjustments. The transaction is subject to satisfaction of customary closing conditions and is expected to close on or before December 31, 2012. Harte-Hanks plans to use the proceeds from the transaction for general corporate purposes. Harte-Hanks anticipate the transaction will result in a one-time after-tax loss of approximately $1 million.
