LJR Security Services, Inc. entered into definitive agreement to acquire NuLife Sciences, Inc. (OTCPK:NULF) from Louis J. Resweber in a reverse merger transaction on August 9, 2018. Under the terms, consideration will be in the form of NuLife stock and the assumption of LJR corporate debt. As per the terms, and in exchange for all one hundred (100) issued and outstanding shares of LJR, LJR will receive 0.001 million shares of Series D Senior Preferred Stock, convertible into 50.24 million shares of common stock of NuLife Sciences. In addition, LJR shareholder will receive one share of series C super-voting preferred stock of NuLife. NuLife will acquire LJR's subsidiary, Gulf West Security Network, Inc., as a part of the transaction. On closing, LJR will become a wholly-owned subsidiary of NuLife Sciences. At closing, Lou J. Resweber will be the Chairman and Chief Executive Officer of NuLife Sciences, Inc. and Sean Clarke will be the Director of NuLife. The transaction is subject to completion of third-party audit, NuLife having cash on hand in an amount of at least $1 in its bank account for any bone fide corporate use, each holder of NuLife Series A Preferred Shares shall enter into a conversion agreement, LJR shall have fully completed its due diligence investigation and all employees of NuLife and merger sub have been terminated at closing. The Board of Directors of NuLife Sciences, Inc. and LJR have approved the transaction and have recommended their respective stockholders to approve the transaction. The transaction is expected to close within next 60 days. Stanley B.
